Main Revenue terms of service
Version draft-2026-10-07
1. Who is contracting
These terms are an agreement between [LEGAL ENTITY NAME AND STATE OF FORMATION — LEGAL DECISION D-01], doing business as Main Revenue (“Main”), and the business organization that orders or uses Main Revenue (“Customer”). Main Revenue is for business use only. The person accepting must be at least 18 and authorized to bind the Customer.
2. The agreement
The agreement consists of: these Terms; each Order (an online order at /start, recorded with the Order terms, or a signed Order Form); the Data Processing Addendum (/revenue/dpa); and the Privacy Notice (/revenue/privacy), which describes Main’s own handling of personal information.
Order of precedence if they conflict: the Order terms (or a signed Order Form), then the Data Processing Addendum, then these Terms, then the Privacy Notice [Draft default — attorney to confirm, D-17].
3. The service
Main provides software and related services that reconcile project and financial records supplied by the Customer, identify possible discrepancies (“findings”), and present the source records behind each one. Deterministic code calculates amounts, dates and reconciliation results. AI may suggest column mappings, summarize findings and answer questions (Privacy Notice section 6). A person at Main reviews every finding before it is released to the Customer, except findings from a rule Main has approved for automatic release, which are labelled “machine-verified” and can be withdrawn at any time.
The Revenue Control Assessment is described in the Order terms. Ongoing monthly Revenue Control requires a separate signed agreement or order; an assessment purchase never starts a recurring charge.
3A. Monthly Revenue Control
Monthly Revenue Control is set up with a person at Main, not bought online. Where a Customer has it:
- It renews each month for another month until cancelled.
- Main will give at least 30 days’ notice by email before a price change takes effect; the Customer may cancel before then.
- The Customer may cancel at any time by emailing Main. Online cancellation is not available yet. Cancellation takes effect at the end of the paid period.
- Fees for a period already started are not refunded, except as the Refund policy states. [Draft default — attorney to confirm, D-19]
4. Not professional services
Main is an operational technology and reconciliation / exception-analysis service. Main is not a CPA firm and does not perform audits, reviews, compilations, agreed-upon procedures, attestation or any other assurance engagement. Main does not provide legal, tax or accounting advice. No CPA-client, attorney-client, fiduciary or assurance relationship is created. The Customer remains responsible for its books, records, filings, financial statements and decisions.
5. Findings and their limits
- Findings depend on the data the Customer supplies; incomplete, inaccurate or late data can change or prevent results.
- Main may not identify every issue. The absence of a finding is not confirmation that records are correct.
- The Customer should verify any finding before relying on it for a material decision.
- Main does not guarantee any recovery, payment, margin, collection or other outcome.
- Drafts Main prepares are suggestions; the Customer reviews and decides whether to send, file or act on anything. Main does not contact the Customer’s general contractors, owners or other third parties on its behalf.
6. Sharing reports with others
The Customer may share its reports with its owners, CPAs, attorneys, lenders, sureties and general contractors for its own business purposes. Doing so does not make them Main’s clients or third-party beneficiaries of this agreement, and a report must not be described as an audit or assurance opinion. [LEGAL DECISION D-08 — exact third-party reliance wording]
7. Customer Data
The Customer owns its data. Main receives only the limited rights needed to provide, secure and support the service for the Customer, as described in the DPA. Main does not use Customer Data to train AI models, to build pooled or cross-customer benchmarks, for unrelated analytics, or to sell. Any future use of de-identified, aggregated data requires the Customer’s separate, clear and revocable opt-in and is not part of this agreement.
The Customer represents that it has the right to provide the data it uploads and that doing so does not violate law or another party’s rights. Section 13 of the Privacy Notice lists information that must not be uploaded unless agreed in writing.
8. Confidentiality
Each party will keep the other’s confidential information confidential and use it only for this agreement. Customer confidential information includes its financial records, findings and reports. Main confidential information includes its software, rules and methods. Each party may disclose confidential information to its personnel and service providers who need it and are bound by similar duties, and when legally compelled (with prompt notice where lawful). On termination, confidential information is returned or deleted as described in section 15 and the DPA. A signed mutual NDA, if any, also applies; where it conflicts with this section, the more protective term applies.
9. Security and privacy
Main maintains reasonable administrative, technical and physical safeguards consistent with the controls described in the DPA and on the Security page. No system is perfectly secure, and Main does not promise uninterrupted or error-free operation. The Privacy Notice and DPA are part of this agreement.
10. Accounts
The Customer controls who has access through its organization administrators. Users must keep their credentials confidential; two-factor sign-in is available for every account. The Customer is responsible for activity under its accounts and must tell Main promptly at the contact address of any unauthorized use.
11. Acceptable use
The Customer must not: use the service unlawfully; upload malware or data it has no right to provide; attempt to bypass security or access another organization’s data; obtain credentials of others; reverse engineer the service except where the law permits despite this restriction; or overload or abuse the service with automated requests. Main may suspend access that threatens the service or other customers, with notice where practical.
12. Fees and payment
Fees are those stated in the Order. Online orders are paid by card through Stripe when the order is placed; by placing the order the Customer authorizes Stripe to charge the displayed one-time amount. Additional projects are charged only with the Customer’s clear authorization at the time. Card details go to Stripe, not Main. Receipts and invoices are issued by Stripe. Prices exclude taxes; applicable taxes are added where required.
Failed payments: an order is confirmed only when Stripe confirms payment to Main. Chargebacks and disputes: Main may suspend access to the affected order while a payment dispute is open, and will reinstate it when the dispute is resolved in Main’s favor or the fee is paid [Draft default — attorney to confirm, D-18]. Refunds: see the Refund policy (/revenue/refund-policy).
Taxes: Main does not currently add sales tax at checkout. The Customer is responsible for any taxes that apply to its purchase, other than taxes on Main’s income.
13. Intellectual property
Main owns the software, reconciliation engine, rules, templates and platform, and all improvements to them. The Customer owns its Customer Data. Main grants the Customer a non-exclusive right to use its reports, exports and drafts for its internal business purposes and to share them as described in section 6; Main does not take ownership of the Customer’s financial information. Suggestions or feedback the Customer offers may be used by Main without obligation, without using Customer Data.
14. Service providers
Main uses third-party infrastructure and service providers to run Main Revenue, including Stripe for payments. They are listed at /revenue/subprocessors and governed by the DPA.
15. Term, termination and data after termination
The agreement lasts while an Order is in effect. Either party may terminate for the other’s material breach that is not cured within 30 days after written notice [Draft default — attorney to confirm, D-19]. Main may suspend access immediately where needed to stop a security threat or unlawful use, with notice as soon as practical. Uploaded raw files are deleted automatically 30 days after delivery of the assessment report (Privacy Notice section 9). At the end of the service, the Customer may export its data and ask Main to delete its organization; Main deletes it and issues a deletion certificate, keeping only what the DPA and law allow (for example security logs and acceptance records). Prior versions of deleted files are permanently removed by the storage provider within 30 days.
16. Warranties, liability and indemnities
Main will perform the services with reasonable skill and care. If a delivered finding is materially wrong because of Main’s error, Main will re-review it and issue a corrected report version at no charge; that is the Customer’s remedy for that warranty. Otherwise the service is provided as is, and Main disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, to the extent the law allows. [Draft default — attorney to confirm, D-03]
Each party’s total liability arising out of the agreement is limited to the fees the Customer paid to Main in the 12 months before the event giving rise to the claim. This limit does not apply to the Customer’s obligation to pay fees, to either party’s fraud or willful misconduct, or to amounts that cannot be limited by law. [Draft default — attorney to confirm, D-04]
Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or savings, even if advised of their possibility, subject to the same exceptions. [Draft default — attorney to confirm, D-05]
Main will defend the Customer against a third-party claim that the Main Revenue software infringes that party’s intellectual property, and pay the resulting judgment or settlement. The Customer will defend Main against a third-party claim arising from data the Customer uploaded without the right to do so, and pay the resulting judgment or settlement. The defending party controls the defense; the other cooperates and gives prompt notice. [Draft default — attorney to confirm, D-06]
17. Governing law and disputes
New York law governs the agreement, without regard to conflict-of-laws rules. The state and federal courts in New York County, New York have exclusive jurisdiction, and each party consents to them. [Draft default — attorney to confirm, D-02]
[LEGAL DECISION D-02 — arbitration instead of courts, a class-action waiver and a jury-trial waiver are for counsel to decide]
18. General
Notices: to Main at PO Box 3, Brooklyn, NY 11218 and mainaihelp@gmail.com; to the Customer at the email of its order or account owner. Assignment: neither party may assign without the other’s consent, except to a successor in a merger or sale of the business with notice. Force majeure: neither party is liable for delay caused by events beyond its reasonable control. Waiver: a failure to enforce is not a waiver. Severability: an unenforceable term is limited to the minimum extent and the rest continues. Entire agreement: the documents in section 2 are the entire agreement on their subject. Amendments: Main will give at least 30 days’ notice of changes before they apply; a material change applies to an existing Customer only after it accepts it, which the application asks for at the next sign-in; earlier acceptances remain tied to the version accepted.
Third-party AI: Main uses Anthropic’s API as described in Privacy Notice sections 6 and 7, including that zero data retention is not arranged.
Feedback: Main may use suggestions the Customer offers, without using Customer Data. Publicity: Main will not use the Customer’s name or logo in marketing without the Customer’s written consent.
Export compliance: each party will comply with applicable U.S. export-control and sanctions laws. Electronic signatures and records: acceptance online (including the checkbox at /start) is a binding signature, and the parties consent to electronic records and notices. Survival: sections 4, 5, 7, 8, 13, 15 (data after termination), 16, 17 and 18 survive termination. [Draft default — attorney to confirm, D-20]
